Terms of Service

Please read these Terms of Service carefully before using CoachOps360. By creating an account or using our service, you agree to be bound by these terms. If you do not agree, do not use CoachOps360.

1. About CoachOps360

CoachOps360 is a team development and performance coaching platform that allows managers and team leads ("Account Administrators") to set goals, log coaching notes, schedule 1:1 sessions, assign tasks, upload performance reviews, and give team members access to their own development dashboards.

CoachOps360 is operated by Pat Mileski, based in Maine, United States ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of the CoachOps360 website located at coachops360.com and the CoachOps360 web application located at coachops360.com/app (collectively, the "Service").

By accessing or using the Service, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself and, if applicable, your organization.

2. Account Registration

To use CoachOps360, you must create an account by providing a valid email address and password. You are responsible for:

You may not share your account credentials with others or allow multiple individuals to use the same account. Each paying subscriber is entitled to one manager account per workspace (or up to three on the Pro plan).

Team members added to your workspace do not require a separate paid account. They access the Service through your workspace using a workspace ID and PIN assigned by you.

Free Trial

Each plan includes a 14-day free trial. You will not be charged during the trial period. After the trial ends, your chosen plan will begin billing monthly unless you cancel before the trial expires. We do not require a credit card to start your trial where technically feasible.

Billing

Subscriptions are billed monthly on the anniversary of your subscription start date. All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

All prices are in US Dollars. We reserve the right to change our pricing with at least 30 days' advance notice. Price changes will not affect your current billing period.

Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your access to the Service may be suspended until payment is received. You will receive email notifications about failed payments.

Taxes

You are responsible for any applicable taxes on your subscription. Stripe may collect and remit sales tax where required by law.

4. Cancellation and Refund Policy

Cancellation

You may cancel your subscription at any time from within the app under Account Settings → Cancel Subscription, or by contacting us at pmileski@gmail.com.

When you cancel, your subscription will remain active until the end of your current billing period. You will not be charged for the following month. After cancellation, your account will be downgraded and you will lose access to premium features.

Your data is not deleted when you cancel. We retain your workspace data for 30 days after cancellation in case you choose to resubscribe. After 30 days, you may request permanent deletion of your data.

Refunds

We offer refunds on a case-by-case basis. If you believe you are entitled to a refund due to a technical issue, billing error, or other exceptional circumstance, contact us within 7 days of the charge at pmileski@gmail.com and we will review your request.

We do not offer prorated refunds for cancellations mid-billing-cycle.

5. Acceptable Use

You agree to use CoachOps360 only for lawful purposes and in accordance with these Terms. You agree not to:

Responsibility for Team Member Data

As an Account Administrator, you are responsible for ensuring that you have appropriate legal authority to add team members to your workspace, store their information, and share that information within CoachOps360. You must ensure your use of CoachOps360 complies with applicable employment, privacy, and data protection laws in your jurisdiction.

You are responsible for obtaining any required consent from team members before storing their personal information in the Service.

6. Your Content

You retain ownership of all content you upload, enter, or create in CoachOps360, including coaching notes, goals, session records, uploaded files, and team member information ("Your Content").

By using CoachOps360, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. We do not claim ownership of Your Content and will not use it for any other purpose.

7. Intellectual Property

The CoachOps360 name, logo, website design, application interface, and all related software, features, and functionality are owned by Pat Mileski and are protected by applicable intellectual property laws.

These Terms do not grant you any right, title, or interest in the CoachOps360 brand, technology, or intellectual property. You may not use our trademarks, logos, or branding without our prior written consent.

8. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using CoachOps360, you agree to our Privacy Policy.

9. Availability and Uptime

We strive to keep CoachOps360 available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

We will make reasonable efforts to notify users of planned downtime. We are not liable for any loss or inconvenience resulting from service unavailability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, uninterrupted, secure, or free of viruses or other harmful components. We do not warrant that the results obtained from using the Service will be accurate or reliable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COACHOPS360, PAT MILESKI, OR ANY OF OUR AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

In any case, our total liability to you for all claims arising from or related to these Terms or the Service will not exceed the total amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless CoachOps360 and Pat Mileski from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

Termination by You

You may stop using the Service and close your account at any time. See Section 4 for cancellation details.

Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. In cases of serious violations, no refund will be issued.

We may also terminate the Service entirely with 30 days' advance notice to all active subscribers.

Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to Sections 6, 7, 10, 11, 12, and 15.

14. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email or through a notice in the app at least 14 days before the changes take effect.

Your continued use of CoachOps360 after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the changes, you may cancel your subscription and stop using the Service before the effective date.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Maine, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in Maine, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

You agree that any dispute resolution will be conducted on an individual basis and not as part of a class action.
